On September 29, 2021, Gemini Therapeutics, Inc. (the Company) held its 2021 Annual Meeting of Stockholders (the 2021 Annual Meeting). Proxies were solicited pursuant to the Companys proxy statement filed on August 17, 2021 with the Securities and Exchange Commission under Section 14(a) of the Securities Exchange Act of 1934, as amended. As of August 2, 2021, the record date for the 2021 Annual Meeting, there were 43,055,112 shares of the Companys common stock, par value $0.0001 per share, (the Common Stock) outstanding and entitled to vote at the 2021 Annual Meeting. A total of 28,632,671 shares of Common Stock were present or represented by proxy at the 2021 Annual Meeting, representing 66.50% of the issued and outstanding shares entitled to vote at the meeting, representing a quorum. Each share of Common Stock was entitled to one vote with respect to matters submitted to the Companys stockholders at the 2021 Annual Meeting. The proposals voted upon and the final results of the vote were as follows:
