EXPLANATORY NOTE AND DEREGISTRATION OF SECURITIES
On January 18, 2023, Disc Medicine, Inc., a Delaware corporation (the Registrant) filed a registration statement on Form S-3 (Registration No. 333-269272) (the Registration Statement) with the Securities and Exchange Commission, or the SEC, to register for sale up to $300,000,000 in aggregate principal amount of an indeterminate of the Registrants common stock, preferred stock, debt securities, warrants and/or units. The Registration Statement was declared effective by the SEC on January 24, 2023. The Registrant is filing this Post-Effective Amendment No. 1 to withdraw and remove from registration the remaining securities that were registered on the Registration Statement.
The Registrant has terminated any and all offerings of its securities pursuant to the Registration Statement. In accordance with undertakings made by the Registrant in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities registered under the Registration Statement that remain unsold at the termination of the offerings, the Registrant hereby removes from registration all securities of the Registrant registered but unsold under the Registration Statement, if any, as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such securities.
